RefluxRaft Affiliate Program Terms & Conditions

By submitting your application to the Practitioner Affiliate Program (the “Affiliate Program”) and participating in the Affiliate Program, you agree to these Terms and Conditions (the “Affiliate Terms and Conditions”) and to comply with the requirements contained herein. You are solely responsible for compliance with these Affiliate Terms and Conditions. Agreement to and compliance with the Affiliate Terms and Conditions are a requirement to participate in the Program.

THESE AFFILIATE TERMS AND CONDITIONS REQUIRE THE USE OF MANDATORY ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS. YOU ARE WAIVING THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT. YOU AGREE TO RESOLVE ANY DISPUTE IN ANY WAY ARISING OUT OF OR RELATING TO THESE AFFILIATE TERMS AND CONDITIONS THROUGH BINDING ARBITRATION OR SMALL CLAIMS DISPUTE PROCEDURES, UNLESS OTHERWISE PROVIDED HEREIN.

1. Introduction

i. These Affiliate Terms and Conditions govern your participation in the Practitioner Affiliate Program (the “Program”). The Program is operated by RefluxRaft (“RefluxRaft,” “we,” “us,” or “our”) and is subject to these Affiliate Terms and Conditions as well as any documents or policies they expressly incorporate by reference, including, without limitation, our Privacy Policy and our General Terms of Service, any separate agreement we may require you to execute, as well as any RefluxRaft policies, standard operating procedures, or guidelines provided to you from time to time (collectively, these “Affiliate Terms”). The Affiliate Terms govern your (“Affiliate,” “you,” or “your”) relationship with RefluxRaft when you apply for and participate in the Program. By submitting your application and/or participating in the Program, you hereby agree to be bound by these Affiliate Terms, and further warrant that all representations made or agreed to herein are true and correct.

ii. RefluxRaft may, in its sole and absolute discretion, with or without notice to you, modify or add to any of these Affiliate Terms or the Program at any time, even though such changes may affect the amount of your Compensation.

iii. Superfiliate, Inc. (the “Platform”) provides certain services to us in connection with the Program. You acknowledge any and all Platform terms and conditions (available at https://www.superfiliate.com/legal/terms) (“Platform Terms”) are incorporated into the Affiliate Terms. In the event of a conflict between these Affiliate Terms and the Platform Terms, the terms of these Affiliate Terms shall govern and control.

2. Program Description

The Program is a brand Affiliate program that allows an Affiliate who has been approved by RefluxRaft to receive certain benefits, such as Commissions on Qualified Sales of RefluxRaft Products, Discounts, and sample products in exchange for providing certain Promotional Services of RefluxRaft Products to RefluxRaft. Participation in the Program is personal and non-transferable. Commissions, Discounts, and other Affiliate Promotions or benefits may not be gifted, purchased, sold, bartered, brokered, or otherwise transferred.

3. Enrollment; Application

i. Enrollment. If selected by RefluxRaft, you will become a brand affiliate (“Affiliate”) for products offered and sold by RefluxRaft (the “RefluxRaft Products”) on its website (www.refluxraft.com) (the “Website”).

ii. Limitation. Participation in the Program is limited to eligible persons residing in the United States. Only persons transacting in their personal capacity and for their own account are eligible to participate. No business entities, third-party aggregators, organizations, or groups may apply for or enroll or participate in the Program.

iii. Application. To participate and enroll in the Program you must complete and submit the online application. RefluxRaft may reject your application and/or dismiss you from the Program at any time at our sole and absolute discretion. You must provide your full and accurate legal name, a valid email address, and any other information required to complete the application. You will not use any “bot” or other automated method to enroll or otherwise participate in the Program.

iv. Criteria. You acknowledge and agree that you meet the following eligibility criteria:

  • You have read, understand, and agree to be bound by the Affiliate Terms.
  • You are eighteen (18) years of age or older.
  • You maintain and actively use an account on at least one form of social media approved by RefluxRaft (collectively, “Approved Media”) and/or you are a licensed practitioner in the medical or health field.

4. Brand Affiliate Program

i. Acceptance. If RefluxRaft approves your application, it will notify you via the communication method provided in your application. RefluxRaft may require you to submit certain paperwork, such as tax (W-9) and work eligibility documentation, prior to payment.

ii. Trackable Links. We will provide you with links or URLs that hyperlink to certain RefluxRaft Products on our Website, and/or provide you with a unique code which allows us to track purchases (“Trackable Link(s)”). You will use Trackable Links as provided and will not change or manipulate them.

iii. Commission. RefluxRaft will pay Affiliate a percent of Qualified Sales generated through the Affiliate’s Trackable Link (“Commission”) as determined by RefluxRaft in its sole and absolute discretion.

IV.  Program Restrictions.  As an Affiliate in the Program, you will not do any of the following:

  1. Post, upload, publish, submit or transmit any content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances;
  2. Violate any applicable law or regulation; or
  3. Encourage or enable any other individual to do any of the foregoing.
  4. Bid on RefluxRaft name misspellings or variations on paid search platforms (e.g., Google Ads).
  5. Offer unauthorized cash back or incentives in exchange for clicks.
  6. Create websites that impersonate RefluxRaft or its brand.
  7. Bid on keywords related to RefluxRaft’s brand name (Trademark+) without written consent.

5. Non-Disparagement

Affiliate agrees to refrain from making negative, disparaging, untrue, or misleading statements about RefluxRaft, the RefluxRaft Products, or the officers and employees of RefluxRaft. Affiliate shall not make any claims related to the earnings of the Affiliate Program except as directed or approved by RefluxRaft.  Affiliate shall not make any statements or representations on behalf of RefluxRaft.

6. Affiliate Services

i. Services. You agree to use your best efforts to market and promote RefluxRaft Products on your Accounts in a manner consistent with brand guidelines. You may:

  • Create and post photo/video content promoting RefluxRaft.
  • Share your Trackable Link in any Content you create.
  • Promptly respond to communications from RefluxRaft personnel.
  • Send custom testimonials or content changes via email to RefluxRaft for approval prior to posting.

ii. Content. You are responsible for the accuracy and veracity of your Content. You agree that RefluxRaft may post, re-post, or otherwise re-use any of your Content at any time without further compensation. You will comply with all applicable laws, including the Federal Trade Commission (FTC) Guides regarding endorsements.

7. Exclusivity

During the term of these Affiliate Terms, Affiliate agrees to not engage in or promote services that create any conflict of interest. For the purposes of these terms, the business of RefluxRaft is focused on acid reflux relief and related digestive health supplements.

8. Qualified Sales; Discounts

i. Qualified Sale(s). Defined as sales of RefluxRaft Products to an End Customer that are verified through the Superfiliate platform tracking systems using your unique Trackable Link, provided the sale is made within seven (7) days of the first click and does not result in a return or chargeback.

ii. Taxes. You are responsible for all taxes and fees associated with Commissions. You may be required to provide a Social Security Number or EIN for tax reporting (1099) purposes.

iii. Excessive Returns. If an Affiliate returns RefluxRaft Products for a refund totaling more than $500.00 USD in any 12-month period, RefluxRaft reserves the right to terminate the Affiliate from the Program.

9. Confidential Information

Affiliate agrees to hold all confidential information in the strictest confidence. Affiliates shall not utilize Confidential Information to solicit other Affiliates or customers to join other income-earning opportunities. For the purposes of this Agreement, “Confidential Information shall mean any and all information disclosed to Affiliate by RefluxRaft, including but not limited to information regarding RefluxRaft products and services, strategies, financials and/or internal discussions.

10. Intellectual Property

i. Ownership. All RefluxRaft trade names, logos, and marketing material (“RefluxRaft Intellectual Property”) remain the property of RefluxRaft.

ii. Assignment of Rights. By creating Content for the Program, you irrevocably assign to RefluxRaft all right, title, and interest in and to any Content created while performing Services. RefluxRaft may use this content in perpetuity at no charge. 

Iii.  License.  RefluxRaft hereby grants to Affiliate (during the duration of Affiliate’s participation in the Program) the right to copy and use the RefluxRaft Intellectual Property solely in connection with Affiliate’s activities within the Program and according to all Trademark and Brand Guidelines made available to Affiliate by RefluxRaft.

11. Termination

Participation may be terminated by either party at any time, with or without cause. To terminate, you must email RefluxRaft’s program administrator (Partners@refluxraft.com). Upon termination, all Trackable Links will be disabled, and you must cease using RefluxRaft Intellectual Property.

12. Indemnity & Limitation of Liability

Affiliate agrees to indemnify and hold RefluxRaft harmless from and against any claims arising from (a) Affiliate’s breach of these terms or violation of law, (b) any action or statement made or undertaken by Affiliate. IN NO EVENT SHALL REFLUXRAFT”S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY REFLUXRAFT AS COMMISSIONS UNDER THE PROGRAM.

13. General

This Agreement contains the entire understanding between and among the parties hereto, and supersedes any prior written or oral agreement between or among the parties concerning the subject matter contained herein, and there are no representations, agreements, arrangements or understandings, oral or written, between or among the parties hereto, relating to the subject matter contained in this Agreement, which are not fully expressed herein.  Subject to the restrictions against transfer or assignment herein contained, the provisions of this Agreement shall inure to the benefit of and shall be binding upon the heirs and legatees, successors-in-interest, legal representatives, estates and assigns of each of the parties hereto.  No waiver of any breach or default of this Agreement by any party hereto shall be considered to be a waiver of any other breach or default of this Agreement.   This Agreement shall be governed by and construed in accordance with the domestic laws of the State of Virginia without giving effect to any choice or conflict of law provision or rule (whether of the State of Virginia or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Virginia.
